15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TEXAS HOUSE ADVISORS OR ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID TO US FOR THE SERVICE AT ISSUE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

16. Indemnification

You agree to defend, indemnify, and hold harmless Texas House Advisors and our owners, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these Terms; or (c) your violation of any law or the rights of any third party.

17. Governing Law; Dispute Resolution; Arbitration

These Terms are governed by the laws of the State of Texas, without regard to its conflicts of laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Site/Services (collectively, “Disputes”) shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, except that either party may seek relief in small claims court for qualifying claims. The arbitration will be conducted by a single arbitrator in Bell County, Texas (or remotely by video conference if agreed).

CLASS ACTION WAIVER: Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceeding or class actions. YOU AND TEXAS HOUSE ADVISORS WAIVE ANY RIGHT TO A JURY TRIAL. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing [email protected] with the subject line “Arbitration Opt-Out” and your full name and contact information. This Section does not preclude either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

18. Termination

We may suspend or terminate your access to the Site or Services at any time, with or without notice, if we believe you have violated these Terms or applicable law. Upon termination, the rights and licenses granted to you will cease immediately. Sections that by their nature should survive termination shall survive (including, without limitation, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution).

19. International Use

We operate primarily in the United States. We make no representation that the Site or Services are appropriate or available for use in other locations. Accessing the Site from territories where its content or practices are unlawful is prohibited.

20. Children

The Site and Services are not directed to children under 13, and we do not knowingly collect personal information from children.

21. Miscellaneous

·       Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

·       Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

·       No Waiver: Our failure to enforce any provision of these Terms is not a waiver of such provision.
